1. Acceptance of Terms and Changes

Welcome to Invoice Buddy. By accessing our website, web application, or mobile application, you agree to be bound by these Terms of Service. We are constantly improving Invoice Buddy and may update these Terms, modify features, or suspend aspects of our service at any time. If we make material changes, we will notify you by updating the "Last Updated" date above or via email. Your continued use of the platform after changes constitutes acceptance of the revised Terms.

2. User Responsibilities & User-Generated Content

You are responsible for maintaining the security of your account and the accuracy of the information you provide.

Content Ownership: When you upload receipts, create clients, or generate invoices ("User Content"), you retain all rights to your data. You grant Invoice Buddy a limited license to process, store, and transmit this data strictly to provide the service to you.

Lawful Use: You agree not to use Invoice Buddy for any illegal or unauthorised purpose. You warrant that you have the right to upload any documents or receipts provided to the platform and must not violate any laws in your jurisdiction (including copyright and tax laws) when using our platform.

3. Subscriptions, Billing, and Payments

Invoice Buddy offers a Free tier and a Paid tier. If you subscribe to our Paid tier:

  • Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Cancellations and Refunds: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle. We do not provide pro-rata refunds for partial months of service.
  • Price Changes: We reserve the right to modify our subscription pricing. We will provide at least 30 days' notice before any price changes affect your active subscription.

4. Intellectual Property

Invoice Buddy retains all rights, title, and interest in and to the platform, including all software, code, designs, logos, and proprietary technology. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended business purposes.

5. AI-Powered Features and Accuracy

Invoice Buddy utilises third-party artificial intelligence (LLMs) to assist with extracting data from uploaded receipts and managing expenses.

No Guarantee of Accuracy: AI models can occasionally misread numbers, miscategorise items, or generate incorrect text. You are solely responsible for reviewing, verifying, and correcting all AI-extracted data before finalising expenses or using the data for tax purposes.

Not Financial Advice: Invoice Buddy is an administrative tool, not a registered tax agent. We accept no liability for financial discrepancies, Australian Taxation Office (ATO) penalties, or tax calculation errors arising from unverified AI-processed data.

6. Cloud Infrastructure and Data Retention

Cloud Hosting: Paid user data is synced and stored securely via Supabase on AWS infrastructure in Sydney, Australia.

Record Keeping: Invoice Buddy is not a permanent financial archive. We do not guarantee absolute zero-data-loss in the event of third-party infrastructure failures. You are solely responsible for using our Bulk Export features to back up your records at the end of each financial year to satisfy ATO obligations.

7. Service Availability and Fair Use

Availability: While we strive for high availability, we do not guarantee that our service will be uninterrupted, timely, secure, or error-free. We reserve the right to temporarily suspend the service for maintenance or operational reasons.

Fair Use Policy: Our services are designed for typical small business use. You agree not to use the service in a way that places an unreasonable load on our infrastructure. We reserve the right to suspend or limit access for accounts that exhibit excessive usage patterns.

8. Australian Consumer Law (ACL)

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be lawfully excluded. To the extent permitted by law, Invoice Buddy’s liability for any breach of a non-excludable guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

9. Limitation of Liability

Subject to Section 8, and to the fullest extent permitted by applicable law, Invoice Buddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to, use of, or inability to access or use the services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Invoice Buddy, its affiliates, and its employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your breach of these Terms, your violation of any law (including tax regulations), or your infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Victoria, Australia, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Apple App Store Additional Terms

If you access Invoice Buddy via an application downloaded from the Apple App Store, the following additional terms apply:

  • Acknowledgment: You and Invoice Buddy acknowledge that these Terms are concluded between you and Invoice Buddy only, not Apple, and Invoice Buddy, not Apple, is solely responsible for the App and its content.
  • Scope of License: The license granted to you is a non-transferable license to use the App on any Apple-branded products that you own or control as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Maintenance and Support: Invoice Buddy is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance and support services.
  • Warranty: Invoice Buddy is solely responsible for any product warranties. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.
  • Product Claims: Invoice Buddy, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to any legal requirement, and claims arising under consumer protection or privacy legislation.
  • Intellectual Property Rights: In the event of any third-party claim that the App infringes that third party’s intellectual property rights, Invoice Buddy, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Legal Compliance: You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-Party Beneficiary: Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
